Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the websites, landing pages, campaigns, and lead generation services (collectively, the “Services”) provided by Qualifyr Leads LLC, a Wyoming limited liability company (“Qualifyr Leads,” “we,” “us,” or “our”). By accessing or using the Services, requesting a quote, booking a strategy call, or entering into an engagement with us, you agree to be bound by these Terms. If you do not agree, do not use the Services.

Description of Services

Qualifyr Leads is a performance lead generation company. We plan and run our own marketing campaigns and funnels, generate consumer inquiries and appointments, and deliver qualified leads to client businesses on a cost-per-lead (CPL), revenue-share, or other agreed commercial basis. The specific scope, pricing, lead definitions, delivery method, and other commercial terms of any engagement are set out in a separate written agreement, order form, or insertion order between you and us (an “Order”). If an Order conflicts with these Terms, the Order controls for that engagement.

No Guarantee of Results

We do not guarantee any specific volume, quality, timing, conversion rate, close rate, return on investment, or business outcome from leads or campaigns. Lead generation results depend on many factors outside our control, including your responsiveness, sales process, pricing, market conditions, offer, and the actions of the consumers who submit inquiries. Any examples, estimates, or projections are illustrative only and are not promises of results.

Acceptable Use

You agree not to:

• Use the Services or any leads for any unlawful, fraudulent, deceptive, or abusive purpose;
• Contact leads in violation of applicable laws and regulations, including telemarketing, texting, email, and consumer protection laws (for example, the TCPA, CAN-SPAM, and applicable state analogues);
• Resell, redistribute, or transfer leads to third parties except as expressly permitted by your Order;
• Attempt to interfere with, disrupt, reverse engineer, or gain unauthorized access to the Services or related systems; or
• Use the Services to infringe the rights of, or cause harm to, any person.

You are solely responsible for your own compliance with all laws applicable to your contact with and handling of leads, including obtaining any additional consents required for your communications and honoring opt-out requests.

Intellectual Property

The Services, including our websites, campaigns, funnels, creative, copy, software, trademarks, logos, and the “Qualifyr Leads” name and marks, and all related intellectual property, are owned by Qualifyr Leads or its licensors and are protected by applicable laws. We grant you no license or right in our intellectual property except the limited right to use leads delivered to you for your own internal business purposes as described in your Order. You may not copy, modify, distribute, or create derivative works from any part of the Services without our prior written consent.

Third-Party Links and Services

The Services may contain links to, or integrate with, third-party websites, tools, and services that we do not control. We are not responsible for the content, policies, or practices of any third party, and access to third-party services is at your own risk and subject to their terms.

Disclaimers

THE SERVICES AND ALL LEADS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY LEAD IS ACCURATE, COMPLETE, CURRENT, GENUINELY INTERESTED, OR WILL RESULT IN A SALE.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUALIFYR LEADS AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS, WHETHER BASED ON CONTRACT, TORT, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICES GIVING RISE TO THE CLAIM IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

Indemnification

You agree to indemnify, defend, and hold harmless Qualifyr Leads and its members, managers, officers, employees, and agents from and against any claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Services or leads, your contact with or handling of leads, your breach of these Terms, or your violation of any law or the rights of any third party.

Governing Law

These Terms and any dispute arising out of or related to them or the Services are governed by the laws of the State of Wyoming, without regard to its conflict-of-laws principles. You agree that the exclusive venue for any dispute that is not otherwise subject to an alternative dispute resolution provision in an Order will be the state or federal courts located in Wyoming, and you consent to the personal jurisdiction of those courts.

Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the “Effective date” above and post the updated version on this page. Your continued use of the Services after an update constitutes acceptance of the revised Terms.
